Board of Directors Vs Advisory Board

There are differences between a advisory board and a board of directors and a board of directors, even though both offer a lot of value to an organisation. Boards are accountable for supervision, governance and direction of an organization. On the other hand, an advisory board can offer strategic business insight through experience and knowledge. A board of directors is bound by specific legal obligations, which require them to adhere with certain guidelines and rules. An advisory board however is not bound by any of these obligations.

It is crucial to define the purpose of an advisory panel when making it. This will help avoid confusion and ensure that an organisation reaps the maximum benefit from its advisory board members. This can also help minimize the liability exposure of the members of the advisory board, and for them too. It’s important to document the clarification, whether through a written agreement, a board resolution or a policy of the company.

It is helpful to have a plan in mind you think that an organization wishes to establish an advisory board for strategic purposes. This could be something as easy as identifying a group that an organization might be unable to engage, or as complicated as providing insight into business for the specific project.

An advisory board should consist comprised of people that is relevant to the purpose of the organization. This could include former volunteers or members of the board of directors, or professionals from outside. In selecting members organisations should take into consideration the person’s skills, expertise in their field and the level of interest in their mission. It is also important to determine whether the person is able to commit having regular meetings.
